These Terms of Service ("Terms") govern your use of the GNSS-Shield platform and services. By accessing or using our services, you agree to be bound by these Terms.

Governing Law: These Terms are governed by French law and subject to the jurisdiction of French courts.

1. Definitions

  • "Company," "we," "our," or "us" refers to Stellar SAS, a company incorporated under French law
  • "Customer," "you," or "your" refers to the individual or entity using our services
  • "Services" refers to the GNSS interference detection platform, including edge devices, cloud infrastructure, and related software
  • "Platform" refers to our web-based interface, APIs, and mobile applications
  • "Data" refers to any information processed, stored, or transmitted through our services
  • "Agreement" refers to these Terms together with any applicable service agreements or statements of work

2. Service Description

GNSS-Shield provides a comprehensive GNSS interference detection and monitoring platform that includes:

  • Real-time detection of GNSS jamming and spoofing attacks
  • Galileo OS-NMA verification and authentication
  • Multi-site triangulation and emitter localization
  • Compliance reporting for NIS2 and EASA regulations
  • Edge-to-cloud data processing and analytics
  • API access and integration capabilities
  • 24/7 monitoring and alerting services

3. Account Registration and Eligibility

3.1 Account Requirements

  • You must be at least 18 years old to create an account
  • You must provide accurate, complete, and current information
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must notify us immediately of any unauthorized use of your account
  • One person or entity may not maintain multiple accounts without our written consent

3.2 Business Customers

  • Business customers must provide valid business registration information
  • Authorized representatives must have legal authority to bind the organization
  • Account administrators are responsible for managing user access and permissions
  • Compliance with applicable industry regulations is required

4. Service Availability and Performance

4.1 Service Level Agreement

  • We provide a 99.9% uptime SLA for our cloud services
  • Edge device availability depends on local network and power conditions
  • Planned maintenance will be announced at least 48 hours in advance
  • Emergency maintenance may be performed with minimal notice
  • Service credits may be available for qualifying downtime events

4.2 Performance Limitations

  • Service performance may vary based on network conditions and usage patterns
  • Detection accuracy depends on signal quality and environmental factors
  • We do not guarantee detection of all types of interference
  • Historical data availability is subject to retention policies

5. Data Processing and Privacy

5.1 Data Ownership

  • You retain ownership of all data you provide to our services
  • We process your data only as necessary to provide our services
  • Anonymized and aggregated data may be used for service improvement
  • Data export capabilities are provided for your convenience

5.2 Data Processing

  • All data processing is performed in compliance with GDPR and French data protection laws
  • Data is encrypted in transit and at rest using industry-standard methods
  • Access to your data is restricted to authorized personnel only
  • Data retention periods are defined in our Privacy Policy

5.3 Data Location

  • All data processing occurs within the European Economic Area (EEA)
  • Data centers are located in France, Germany, and the Netherlands
  • No data is transferred outside the EEA without appropriate safeguards
  • Edge devices may process data locally before transmission

6. Intellectual Property Rights

6.1 Our Intellectual Property

  • All software, algorithms, and methodologies remain our exclusive property
  • You receive a limited, non-exclusive license to use our services
  • You may not reverse engineer, decompile, or disassemble our software
  • You may not create derivative works based on our intellectual property

6.2 Your Intellectual Property

  • You retain all rights to your data and intellectual property
  • You grant us necessary licenses to process your data for service provision
  • You represent that you have the right to provide any data you submit
  • You will not infringe on third-party intellectual property rights

7. Payment Terms and Billing

7.1 Pricing and Payment

  • Service fees are as specified in your service agreement or pricing schedule
  • All prices are exclusive of applicable taxes and fees
  • Payment is due within 30 days of invoice date unless otherwise agreed
  • We accept payment by bank transfer, credit card, or other agreed methods
  • Late payment may result in service suspension or termination

7.2 Price Changes

  • We may modify pricing with 60 days' written notice
  • Existing customers will be grandfathered for 12 months
  • Price changes will not affect current contract terms
  • You may terminate if you disagree with significant price increases

7.3 Refunds and Credits

  • Refunds are provided only as specified in your service agreement
  • Service credits may be issued for qualifying service interruptions
  • Refund requests must be submitted within 30 days of the qualifying event
  • Processing fees and setup costs are generally non-refundable

8. Acceptable Use Policy

8.1 Permitted Uses

  • Use our services for legitimate GNSS monitoring and security purposes
  • Comply with all applicable laws and regulations
  • Respect the rights and privacy of others
  • Use services in accordance with their intended purpose

8.2 Prohibited Uses

  • Use services for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to our systems or other customers' data
  • Interfere with or disrupt our services or infrastructure
  • Use services to develop competing products or services
  • Violate any applicable export control laws or regulations
  • Use services in a manner that could damage our reputation or business

9. Service Modifications and Updates

9.1 Service Updates

  • We may update, modify, or enhance our services at any time
  • Significant changes will be communicated with reasonable advance notice
  • Updates may include new features, security improvements, or bug fixes
  • We strive to maintain backward compatibility when possible

9.2 Service Discontinuation

  • We may discontinue services with 12 months' written notice
  • Data migration assistance will be provided during the transition period
  • Alternative solutions may be offered when available
  • Refunds may be available for prepaid services

10. Limitation of Liability

10.1 General Limitations

To the maximum extent permitted by French law:

  • Our liability is limited to the amount you paid for services in the 12 months preceding the claim
  • We are not liable for indirect, incidental, or consequential damages
  • We are not liable for loss of profits, data, or business opportunities
  • We are not liable for damages caused by third parties or force majeure events

10.2 Exceptions

  • Limitations do not apply to death or personal injury caused by our negligence
  • Limitations do not apply to fraud or willful misconduct
  • Limitations do not apply to violations of data protection laws
  • Some limitations may not apply to consumers under French consumer law

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

  • Your use of our services in violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your infringement of third-party intellectual property rights
  • Your data or content that violates these Terms
  • Your negligence or willful misconduct

12. Termination

12.1 Termination by You

  • You may terminate your account at any time with 30 days' written notice
  • Data export will be provided before account closure
  • Outstanding fees remain due and payable
  • Some data may be retained for legal compliance purposes

12.2 Termination by Us

  • We may terminate your account for material breach of these Terms
  • We may suspend services for non-payment or security concerns
  • We will provide reasonable notice when possible
  • Immediate termination may occur for serious violations

12.3 Effect of Termination

  • Your right to use our services ceases immediately
  • Data will be deleted according to our retention policies
  • Provisions that by their nature should survive termination remain in effect
  • Outstanding obligations remain enforceable

13. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including:

  • Natural disasters, war, terrorism, or civil unrest
  • Government actions, regulations, or restrictions
  • Internet or telecommunications failures
  • Power outages or infrastructure failures
  • Pandemics or other public health emergencies

14. Dispute Resolution

14.1 Governing Law and Jurisdiction

  • These Terms are governed by French law
  • Disputes shall be subject to the exclusive jurisdiction of French courts
  • Legal proceedings may be conducted in French or English
  • EU consumer protection laws may apply to consumer customers

14.2 Alternative Dispute Resolution

  • We encourage good faith negotiation to resolve disputes
  • Mediation may be available for commercial disputes
  • EU Online Dispute Resolution platform is available for consumers
  • Arbitration may be available for certain types of disputes

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and us regarding the use of our services.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

15.4 Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations to any successor or affiliate.

15.5 Notices

Notices under these Terms may be sent by email to the addresses provided in your account or by registered mail to our business address.
